1. Agreement to terms
These Terms of Service (the "Terms") form a binding agreement between you and WeCoding Pte. Ltd. ("WeCoding", "we", "us"), the company that operates the website at wecoding.ai, the API at open.wecoding.ai, and the related console (together, the "Service").
By creating an account, accessing the Service, or calling the API, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and these Terms bind both you and that company (each a "Customer").
If you do not agree, do not use the Service. These Terms work alongside our Privacy Policy.
2. Definitions
3. Eligibility
You must be at least 16 years old (or the age of digital consent in your country) to use the Service. If you are entering into these Terms on behalf of an entity, you represent that the entity is validly formed and that you have authority to bind it. You represent that your use of the Service complies with all laws that apply to you, including export-control, sanctions, and local laws.
4. Your account and API keys
- Registration. You create an account using Google sign-in or email. You agree to provide accurate information and keep it current.
- Account security. You are responsible for keeping your account credentials and API Keys confidential and for all activity under your account. Notify us immediately at hello@WeCoding.dev if you suspect unauthorised access.
- API Keys are secrets. Do not share them, commit them to source control, or expose them in client-side code. Treat a leaked API Key as compromised and rotate it immediately in the console. You are responsible for usage incurred with your API Keys until you revoke them.
- One person, one account. You may not create accounts to circumvent quotas, rate limits, or enforcement actions.
5. The service
WeCoding hosts the Model on dedicated GPU infrastructure and exposes it through an OpenAI-compatible API, so that existing OpenAI-compatible SDKs, agents, and tools can call it by changing the base URL and API key. The Service includes the console, where you can manage API Keys, view usage and spend, and administer billing.
We provide the Service for lawful, productive development use. We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time, and we may modify features as described in section 13.
6. Plans, pricing, and payment
- Catalog. Pricing, plan tiers, Credit quotas, and rate limits are published in the live catalog on the site and in the console. Those published values are incorporated into these Terms by reference and may change as described below.
- Pay as you go. Under pay-as-you-go billing, you pay for the tokens you consume at the published per-million rates. Pay-as-you-go amounts are invoiced according to the cadence shown in your account.
- Monthly plans. A monthly plan provides a monthly Credit quota together with rolling 5-hour and weekly limits, and rate and concurrency limits, as published for each tier. Unused Credits do not roll over.
- Payment. You authorise us (through our payment processor) to charge your payment method for the amounts you incur. Fees are billed in USD or EUR as applicable. You are responsible for any taxes associated with your use of the Service.
- Renewal and cancellation. Monthly plans renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and there are no refunds for partial periods except where required by law.
- Fee changes. We may change our fees. For existing paid plans, any fee increase takes effect at the start of your next billing period after reasonable notice, so you can cancel before it applies.
7. Acceptable use
You agree not to use, or allow others to use, the Service to:
- Break any law, regulation, or third-party right, or to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or that infringes intellectual-property or privacy rights;
- Generate content that exploits or harms minors, including any sexual content involving minors;
- Create malware, ransomware, exploits, phishing, or other material designed to attack, compromise, or gain unauthorised access to systems;
- Build weapons, or provide instructions for violence, terrorism, or serious harm;
- Generate disinformation, non-consensual intimate imagery, deepfakes of real people without consent, or content intended to deceive about its artificial origin for fraud;
- Make automated decisions that produce legal or similarly significant effects on individuals without appropriate safeguards, transparency, and a lawful basis;
- Attempt to probe, scan, reverse engineer, extract the weights of, or otherwise discover the internals of the Model or the Service, or to bypass rate limits, metering, quotas, or security controls;
- Resell, sublicense, or provide the Service as a hosted or white-labelled offering to third parties without authorisation, or otherwise operate the Service in a way that competes with us;
- Interfere with the Service, overload it, or introduce malicious code; or
- Use the Service in a manner that could damage our infrastructure, which is shared infrastructure tuned for steady agent workloads.
You are responsible for configuring your integration and for any downstream use of the outputs. We may investigate suspected violations and take action under section 14.
8. Your content and inputs
- You own your Content. As between you and WeCoding, you retain all rights in the Content you submit.
- Licence to process. You grant WeCoding a limited, non-exclusive licence to receive, transmit, and process your Content solely to operate the Service for you and to return outputs, including transient processing on our infrastructure to run inference.
- We do not store your Content. Consistent with our Privacy Policy, we do not persist your prompts or the Model's outputs after a request completes, and we do not use your Content to train, fine-tune, or improve models.
- Your responsibility. You are responsible for your Content, including that you have the rights to submit it, that it complies with these Terms, and that you have any consents needed from individuals whose data is in your Content.
9. AI outputs
- Outputs are AI-generated. The Model produces outputs probabilistically. Outputs may be inaccurate, incomplete, biased, or inappropriate, even when they appear confident.
- Your use of outputs. You are responsible for reviewing and validating outputs before relying on them or sharing them with others, especially in high-stakes contexts (legal, medical, financial, safety).
- No warranties on outputs. We do not warrant that any output is correct, fit for purpose, or non-infringing. You assume all risk arising from your use of outputs.
- Third-party claims. Outputs may resemble existing material. If an output is alleged to infringe a third party's rights, that claim is addressed under the indemnity in section 17.
Not affiliated with Zhipu AI or OpenAI. GLM-5.2 is a model developed by Zhipu AI. WeCoding hosts and serves it independently. "OpenAI-compatible" describes an API format only; it does not mean the Service is provided by, affiliated with, or endorsed by OpenAI.
10. Third-party model and compatibility
The Model is a product of Zhipu AI. WeCoding is an independent hosting provider. We are not a partner, affiliate, or subsidiary of Zhipu AI, and Zhipu AI is not a party to these Terms. We are responsible for the hosting, API, billing, and support we provide; we are not responsible for the underlying research, capabilities, or limitations of the Model beyond what we contractually provide here.
Because the Service is OpenAI-compatible, you may use third-party SDKs, agents, and tools to call it. Those third-party tools are governed by their own terms and are not part of the Service. We are not responsible for them.
11. Intellectual property
We (or our licensors) own all rights in the Service, including the console, the API, our documentation, and the WeCoding name and marks. These Terms do not grant you any right to use our branding except to refer to WeCoding accurately. The Model is the intellectual property of Zhipu AI; your use of it through the Service does not transfer any ownership of the Model to you.
12. API access, quotas, and fair use
- Limits. Each Plan publishes rate limits (requests per minute), concurrency limits, and Credit quotas with rolling 5-hour and weekly windows. These exist to keep the shared infrastructure stable for everyone.
- Enforcement. Requests that exceed limits may be queued, throttled (HTTP 429), or rejected. Usage beyond a plan's Credit quota may be blocked until the next window or may be billed at pay-as-you-go rates where your account allows it.
- Fair use. Plans are intended for genuine development and application use. We may restrict or suspend accounts whose usage patterns indicate abuse, for example artificial load generation or attempts to resell capacity.
- Availability. Throughput and latency depend on overall demand. We aim for steady performance but do not commit to specific latency or uptime figures under these Terms.
13. Service changes
We may update, add, or remove features, endpoints, limits, or plan tiers. We may also deprecate the Service or a Plan with reasonable notice. Where a change materially reduces what a paid Plan delivers, we will give you notice and an opportunity to cancel before it takes effect.
14. Suspension and termination
- By you. You can stop using the Service and cancel your account at any time from the console.
- By us. We may suspend or terminate your access if you breach these Terms, if your use creates risk or liability for us or others, if we are required to by law, or if we discontinue the Service. Where practicable, we will give notice and an opportunity to remedy non-material breaches first, except where urgent action is needed to protect the Service or others.
- Effect. On termination, your right to use the Service ends, your API Keys are revoked, and we will delete or anonymise your data in line with our Privacy Policy. Sections that by their nature should survive (including fees owed, intellectual property, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
- Fees owed. Termination does not relieve you of amounts already incurred.
15. Disclaimers
EXCEPT AS REQUIRED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WECODING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) [insert a reasonable floor, e.g., USD 100]. (Confirm the cap with counsel.)
Consumer rights. Some countries and regions, including the EEA, the UK, and Australia, give consumers rights that cannot be excluded or limited by contract. Nothing in these Terms limits any non-excludable rights you may have as a consumer under the mandatory laws of your country of residence. If you are using the Service for personal, non-business purposes and consumer-protection laws apply, the limitations and exclusions above apply only to the extent permitted by those laws.
17. Indemnification
You will defend, indemnify, and hold harmless WeCoding and its affiliates and personnel from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Content; (b) your use of the outputs; (c) your breach of these Terms; or (d) your violation of any law or third-party right. We will give you notice of any such claim and reasonable cooperation, at your expense.
18. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the Republic of Singapore, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Singapore, except that either party may seek interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Confirm the seat with counsel. For a B2B developer audience, Singapore courts (or SIAC arbitration) are common. The consumer carve-out above preserves any mandatory forum or rights you have under local consumer law.
Before filing a claim, the parties will attempt in good faith to resolve the dispute through negotiation for 30 days after written notice.
19. Changes to these terms
We may update these Terms from time to time. We will post the updated version here and change the "Last updated" date. For material changes that affect existing Customers, we will provide notice (for example, by email or in-product) before the change takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
20. General
- Entire agreement. These Terms, the Privacy Policy, and the published catalog constitute the entire agreement between you and WeCoding about the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect, and the provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign or transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of all or part of our business.
- Notices. We may notify you by email to the address on your account or by in-product notice. Legal notices to us should go to legal@wecoding.ai [confirm].
- Force majeure. We are not liable for failure or delay caused by events outside our reasonable control.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, or agency.
